What it does
The Cap Table module in Nautis tracks who owns your company. You set up share counts and a par value, add your founders, investors, employees, advisors, and option pool, issue equity, record financing rounds, and model what future rounds or exits would do to everyone's ownership.
Who can use it
Anyone with read access to the Cap Table module can view stakeholders, ownership, and scenarios.
Adding stakeholders, issuing equity, and editing settings need create or update permission.
The Cap Table must be enabled on your plan.
How to get here
From the sidebar, open Fundraising and click Cap Table.
Step-by-step: first-time setup
Pick your Currency.
Enter Total Authorized Shares (must be greater than zero).
Enter Par Value Per Share.
Optionally set: Option Pool Size Percentage (0-50%), Incorporation Date, Incorporation State, Company Type.
Add at least one Initial Shareholder: Name, optional Email, Type (Founder/Investor/Employee/Advisor/Consultant/Other), Shares.
Click + Add Another for more founders.
Click Complete Setup.

Overview tab dashboard:
Pie chart of ownership.
Totals: issued, authorized, fully diluted shares, option pool.
Stakeholder breakdown by type.
Recent transactions and key alerts.
Refresh button updates numbers. Export All Data (JSON) downloads a full backup. Import All Data (JSON) restores it.
Step-by-step: add a stakeholder
Open Stakeholders tab.
Click Add Stakeholder.
Fill in: Full Name (required), Email, Stakeholder Type (required), Title/Position, Address, Tax ID/SSN, Notes.
Click Create Stakeholder.
Step-by-step: record an equity round
Open Equity tab (equity instruments: common, preferred, options, warrants, SAFEs, notes).
Click Create Instrument.
For priced rounds: Preferred Stock with share count, price, liquidation preference, assignments.
For SAFEs/notes: pick type, record principal, discount, valuation cap. Use Conversions tab later.
For employee grants: Stock Options with vesting details.
Save. Nautis recalculates ownership.

Open Scenarios tab.
Click Create Scenario.
Add changes to test (new investor, pool top-up, exit, etc.).
Save.
Click the scenario for side-by-side comparison, including dilution per stakeholder.
Use Waterfall view on exits to see proceeds split.
Scenarios are sandbox-only — they don't change the live cap table.

Open Conversions tab.
Pick the instrument and the round.
Nautis calculates resulting share count.
Confirm to record as a transaction.

Open Documents tab.
Upload share certificates, board consents, agreements, 409A reports, grant notices.
Tag with stakeholder or instrument for findability.

Click Export All Data (JSON) for complete backup.

Update Total Authorized Shares with board approval.

FAQ
Do I need to set up the cap table before a fundraising round?
No, but easier. Fundraising CRM tracks who's committing; Cap Table records what they own once closed.
Can multiple people edit?
Yes, with update permission. Every change is recorded in Transactions.
What if I made a setup mistake?
Settings tab for company-level. Edit/delete stakeholders in Stakeholders. Correct issuances in Transactions.
Does Nautis generate share certificates?
No — upload them in Documents. Your lawyer or formation agent issues them.
How are SAFEs and convertible notes shown?
As equity instruments without share counts until they convert via Conversions tab.
